Neat — Wholesale Terms of Trade

1. Definitions
In these Terms, "Supplier" means Motley Creative Limited, trading as Neat. "Customer" means the approved wholesale purchaser named in the account application. "Goods" means any products supplied by the Supplier to the Customer.
2. Prices and Orders
All prices are in New Zealand dollars and exclude GST unless expressly stated otherwise. Prices may change without notice; Goods are invoiced at the price current at the date of order. All orders are subject to acceptance and availability. The minimum order is $350 excluding GST and freight.
3. Payment
The Customer’s first order must be paid in full before dispatch. Subsequent invoices are due for payment on the 20th of the month following the invoice date, unless otherwise agreed in writing. Credit is extended at the Supplier’s discretion and may be reduced, suspended, or withdrawn at any time.
4. Late Payment
The Supplier may charge interest on overdue balances at 2% per month, compounding monthly, from the due date until payment in full. The Customer is liable for all costs the Supplier incurs in recovering overdue amounts, including collection agency fees and legal costs on a solicitor–client basis.
5. Retention of Title
Ownership of Goods does not pass to the Customer until the Supplier has received payment in full for all amounts owing by the Customer on any account. Until then, the Customer holds the Goods as bailee for the Supplier, and the Supplier may enter the Customer’s premises to repossess unpaid Goods at the Customer’s cost. Risk in the Goods passes to the Customer on delivery.
6. Delivery and Claims
Freight is charged at cost unless otherwise agreed. Delivery dates are estimates only. Claims for damage, defect, or short delivery must be made in writing within 7 days of delivery; after that time the Goods are deemed accepted.
7. Returns
Goods may be returned only with the Supplier’s prior written approval. Return freight is at the Customer’s cost unless the return results from the Supplier’s error or a defect in the Goods.
8. Default
If the Customer fails to pay any amount when due, breaches these Terms, or becomes insolvent, the Supplier may without notice suspend supply, cancel unfulfilled orders, and require immediate payment of all amounts owing, whether or not otherwise due.
9. Brand Representation
The Customer must present and promote the Goods consistently with Neat’s brand identity, using only imagery, product descriptions, and brand assets supplied or approved by the Supplier, and must keep online product images and information current. The Customer must not resell the Goods through third-party marketplaces or to other resellers without the Supplier’s written consent.
10. General
These Terms apply to all supplies of Goods and prevail over any terms proposed by the Customer. Placing an order constitutes acceptance of these Terms. These Terms are governed by New Zealand law, and the parties submit to the non-exclusive jurisdiction of the New Zealand courts.
